01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nemo ("we," "us," or "our") governing your access to and use of the Nemo mobile application, website, and related services (collectively, the "Service").

By downloading, installing, or using the Nemo app, or by clicking to accept these Terms when prompted, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

We may update these Terms from time to time. Continued use of Nemo after changes become effective constitutes your acceptance of the revised Terms.

02 Eligibility

You must be at least 13 years of age to use Nemo. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By creating an account, you represent and warrant that:

• You are at least 13 years old
• You have the legal capacity to enter into a binding agreement
• Your use of Nemo will not violate any applicable law or regulation
• You have not been previously banned or removed from Nemo for violations of these Terms

Nemo is currently available for iOS devices only.

03 Your Account

To access Nemo's features, you must create an account. When registering, you agree to provide accurate, current, and complete information, including your real name, a valid email address, and a phone number.

Account security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@nemo-us.com if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account.

Username: Your username must not impersonate another person, use another person's identity, or otherwise mislead others as to your identity.

One account per person: You may only maintain one active account. Creating multiple accounts to evade a ban or circumvent restrictions is a violation of these Terms.

Account deletion: You may delete your account at any time. Upon deletion, your profile and associated data will be removed from our systems in accordance with our Privacy Policy.

04 Acceptable Use

Nemo is built to help people stay connected with friends in a safe, positive environment. You agree to use the Service only for lawful purposes and in accordance with these Terms.

You agree not to:

• Stalk, harass, intimidate, threaten, or harm any other person
• Use Nemo to track someone without their knowledge and consent
• Share or distribute content that is illegal, harmful, abusive, obscene, or defamatory
• Attempt to gain unauthorized access to other users' accounts or Nemo's systems
• Use automated tools, bots, or scripts to scrape or interact with Nemo
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity, or falsely claim an affiliation with any person or entity
• Use Nemo to send unsolicited or spam messages
• Engage in any activity that violates applicable local, national, or international law or regulation

05 Location Sharing

Location sharing is the core feature of Nemo and is governed by these specific terms:

Consent-based: Location sharing on Nemo is always mutual and consent-based. You can only see the location of users who have mutually added you as a friend. You are never required to share your location.

Ghost Mode: You have the right to hide your location at any time using Ghost Mode. When Ghost Mode is active, no other user — including your friends — can see your location on the map.

Your responsibility: By enabling location sharing, you consent to Nemo collecting and displaying your real-time location to your approved friends. You are responsible for managing your privacy settings and friend list.

Accuracy: Nemo displays location data as provided by your device's GPS. We do not guarantee the accuracy of location data and are not liable for decisions made based on location information within the app.

Emergency use: Nemo is not an emergency service. Do not rely on Nemo as your sole means of communication in an emergency. If you or someone you know is in danger, contact local emergency services immediately.

06 User Content

Nemo allows you to submit content including profile photos, display names, usernames, and messages sent to other users ("User Content").

Your ownership: You retain ownership of your User Content. By submitting content to Nemo, you grant us a non-exclusive, worldwide, royalty-free license to store, display, and transmit that content solely as necessary to provide the Service.

Your responsibility: You are solely responsible for any User Content you submit. You represent that you have all rights necessary to grant the above license and that your content does not violate these Terms or any applicable law.

Content we may remove: We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise harmful, offensive, or inappropriate.

07 Intellectual Property

The Nemo app, including its name, logo, design, code, features, and all content created by us, is owned by Nemo and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Nemo app on your personal iOS device solely for your personal, non-commercial use in accordance with these Terms.

You may not copy, modify, distribute, sell, or sublicense any part of the Nemo app or its content without our prior written permission.

08 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Location data provided will be accurate or current at all times
• The Service will meet your specific requirements
• Any errors in the Service will be corrected

Your use of the Service is at your sole risk.

09 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEMO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall Nemo's total liability to you for all claims exceed the amount you paid us, if any, in the twelve months prior to the claim.

10 Termination

We may suspend or terminate your access to Nemo at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 7, 8, 9, and 11) will survive.

You may stop using Nemo and delete your account at any time. Deleting the app from your device does not automatically delete your account or data.

11 Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Kentucky, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of Nemo shall first be attempted to be resolved informally by contacting us at support@nemo-us.com. If we cannot resolve the dispute informally within 30 days, the parties agree to submit to binding arbitration in accordance with applicable rules.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative proceeding.
